Course topics: 1. Business obligations, properties and origin of business obligations, concluding business contracts. Relationship between commercial law and civil law regulation in contractual relations. 2. Content of trade commitments. Change in trade payables. Securing trade payables. 3. Termination of trade payables. 4. Legal consequences of breach of business obligations, damages. 5. Limitation, differences between commercial and civil regime of limitation. 6. Purchase contract in commercial law. 7. Contract for work. 8. Distribution agreements and provision of services - mandate agreement, commission agreement, mediation agreement, agency and franchise. 9. Logistics of business - contract for the transport of goods, forwarding contract, contract for the lease of a means of transport, contract for the operation of a means of transport, contract for the storage of goods, contract for storage. 10. Business financing (silent partnership financing, factoring, forfaiting, leasing as a form of financing vs. purchase of a leased item) and bank contracts. 11. Licenses and marketing activities - advertising, marketing, license agreement for industrial property, transfers of know-how, trade secrets, etc. ... acquisitions of entrepreneurs - sale of the company vs. sale of property vs. sale of account to the company. 12. Securities, bills of exchange and checks.
