Course topics: The course will focus on the issue of legal entities under private law, especially on the following topics: - the doctrinal nature of legal persons governed by private law; - historical development of the regulation of legal entities; - distinction between legal persons under private and public law; - the nature and concepts of the subjectivity of legal entities, the principle of separate property; - legislative definition of a legal person governed by private law from a comparative point of view, - application of institutes of general private law, obligation law and exclusion of their application in the law of legal entities; - the position of obligatory and optional bodies of legal entities; - liability of bodies of legal persons governed by private law; - legal persons such as associations of persons and associations of property, corporations and foundations; - general regulation of legal entities and special forms of legal entities; - the most common forms of legal entities under private law; companies and the application of their rules to other legal persons governed by private law, and - legal protection of persons participating in a legal person. Within the mentioned areas, an analysis of doctrinal views, legal regulation and judicial practice in relation to specific manifestations of the given legal institutes will take place. Emphasis will be placed on a comparative and historical excursion, as well as on the economic analysis of the law of legal entities.
